Upon full payment for services rendered, ownership of the final deliverables will transfer to the client, except for any pre-existing intellectual property or third-party materials.
We retain the right to display client work in our portfolio and marketing materials unless otherwise agreed upon in writing.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of these terms.
To the maximum extent permitted by law, illumin8labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services.
Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee specific results from the use of our services.
You agree to indemnify and hold harmless illumin8labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
Either party may terminate the service agreement with written notice as specified in individual contracts. Upon termination, you must cease all use of our services and any materials provided.
These Terms of Service shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.
Any disputes arising from these terms shall first be addressed through good-faith negotiations. If unresolved, disputes shall be handled through the dispute-resolution process defined in the applicable service agreement.
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified terms.
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms of Service, together with any individual service agreements, constitute the entire agreement between you and illumin8labs regarding the use of our services.
